1. Acceptance of Terms
By accessing or using the Navo, Inc. ("Navo," "we," "our," or "us") website (www.navo.ai) and our AI-powered conversational tax preparation and filing application (the "Service"), you agree to be bound by these Terms of Use. If you do not agree to all of these terms, you may not use the Service.
2. Electronic Communications and E-Sign Consent
By creating an account and using the Service, you affirmatively consent to conduct business electronically and to receive all communications, agreements, tax forms, disclosures, and notices (collectively, "Communications") electronically.
- Electronic Signatures: You agree that your electronic signature - whether executed by clicking a button, checking a box, typing your name, or entering your Date of Birth and 5-digit Self-Select PIN to transmit your tax return - has the same legal validity and effect as a physical, handwritten signature.
- Hardware and Software Requirements: To access and retain these electronic Communications, you must have a device with an internet connection, a modern web browser with cookies enabled, a valid email address, and software capable of viewing PDF documents.
- Withdrawal of Consent: You may withdraw your consent to receive electronic Communications at any time by contacting us at compliance@navo.ai. However, because the Service is an entirely digital tax filing platform, withdrawing your consent will result in the immediate termination of your ability to use the Service.
3. Description of Service, Third-Party Integrations, and System Testing
Navo provides a software platform utilizing generative artificial intelligence to assist users in preparing and electronically filing their U.S. individual income tax returns.
- Authorized E-File Transmitter: To provide electronic filing capabilities, Navo acts as an Online Provider and integrates with a proprietary tax engine and transmission service provided by an authorized third-party IRS e-file provider ("Third-Party Transmitter"). By using the Navo Service, you acknowledge that our Third-Party Transmitter's backend infrastructure is used to calculate, generate, and electronically transmit your tax forms to the Internal Revenue Service (IRS) and applicable state tax agencies.
- Software Testing & Independent Contractors: In accordance with IRC § 7216 regulations and our Privacy Policy, Navo utilizes independent contractors to build, test, and update the software logic and conversational AI models to ensure system reliability and accuracy.
4. User Responsibilities, AI Disclaimers, and No Professional Advice
You are solely responsible for the accuracy, completeness, and truthfulness of all information you provide to Navo, whether entered manually into the chat or extracted from uploaded documents.
- AI-Generated Content: Navo utilizes generative AI to provide general tax-related information, document parsing, and organizational assistance. AI-generated content is for informational purposes only, is not tax, legal, or financial advice, and should not be relied upon to make tax decisions. Guidance or recommendations generated solely by the Navo AI do not create a professional-client relationship and are not a substitute for expert review.
- Perjury Warning: Before submitting your return, you will be required to digitally sign it. Under penalties of perjury, you declare that you have examined your return and accompanying schedules and statements, and to the best of your knowledge and belief, they are true, correct, and complete. You are solely responsible for reviewing your return in full before authorizing submission.
- No Audit, Planning, or Representation Services: The Navo Service does not include audit support, tax planning, or representation before any tax authority. We do not evaluate the defensibility of any tax positions you take via the AI interface. If you are audited or contacted by a tax authority, you are solely responsible for responding, defending your return, and paying any resulting taxes, penalties, or interest. We have no obligation to assist you in connection with any audit or similar proceeding.
5. Prohibited Conduct
You agree not to use the Service for any unlawful purpose. Specifically, you agree that you shall not, and shall not permit any third party to:
- Utilize the Navo Service or any underlying Third-Party Transmitter's service to file fraudulent tax returns, conduct illegal activity, or act in any way contrary to IRS and state regulations.
- Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, underlying structure, ideas, algorithms, or organization of the Navo Service or our Third-Party Transmitter's service.
- Use the Service to benchmark, analyze, or gather information for competitive analysis or to create derivative works.
6. Intellectual Property
Navo retains all right, title, and interest in and to the Navo Service, its AI models, conversational interfaces, and brand marks. Our Third-Party Transmitters retain all intellectual property rights relating to their respective APIs, transmission services, and tax logic engines. Your use of the Service grants you no intellectual property rights in either Navo's or our partners' proprietary technology.
7. Indemnification
You agree to defend, indemnify, and hold harmless Navo, Inc. and its authorized partners, including its Third-Party Transmitters, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorney's fees) arising from:
- Your use of and access to the Service;
- Your violation of any term of these Terms of Use;
- Your provision of false, inaccurate, incomplete, or fraudulent tax information;
- Your violation of any third-party right, including without limitation any privacy or intellectual property right, or any violation of applicable federal or state laws, including IRS regulations.
8. Disclaimer of Warranties
Your use of the Service is at your sole risk. The Navo Service and any integrated third-party transmission services are provided on an "as is" and "as available" basis. Except for express representations stated herein, Navo Inc. and its Third-Party Transmitters disclaim all express or implied warranties, including without limitation all implied warranties of merchantability, title, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will Navo Inc. or its partners, including its Third-Party Transmitters, be liable for any lost profits or for any indirect, special, incidental, punitive, or consequential damages however caused and, whether in contract, tort, or under any other theory of liability, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.
10. Mandatory Arbitration and Class Action Waiver
Please read this section carefully. It affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms of Use, your use of the Navo Service, or your use of any underlying Third-Party Transmitter service, shall be resolved by binding, individual arbitration rather than in court.
- Covered Parties: This mandatory arbitration provision explicitly covers and protects both Navo Inc. and its Third-Party Transmitters to the same extent.
- Arbitration Rules: The arbitration shall be conducted in accordance with the Streamlined Arbitration Rules & Procedures of the Judicial Arbitration and Mediation Service (JAMS).
- Waiver of Jury Trial: You, Navo, and our Third-Party Transmitters each agree to waive the right to a trial by jury.
- No Class Actions: You agree that any arbitration will take place on an individual basis; class arbitrations and class actions are not permitted.
11. Termination
We reserve the right to suspend or terminate your access to the Service at any time, without notice, if we reasonably suspect you are violating these Terms, engaging in fraudulent tax filing, or acting contrary to IRS guidelines.
12. Governing Law
These Terms shall be governed in all respects by the internal laws of the State of Delaware, without regard to its conflict of laws provisions.
